Terms of Service & Commission Guidelines


By requesting a quote and commissioning a project, the Client agrees to the following terms and conditions.
These guidelines are established to ensure a smooth, efficient, and professional workflow between the Client and the Designer.

- "Designer" refers to Danilo Godoy (BleachFX).
- "Client" refers to any individual, company, or entity commissioning the Designer’s services.
- "Project" refers to any agreed-upon creative service, deliverable, or design task.

Business Name: BleachFX Design e Tipografia LTDA, doing business as BleachFX.
Business Hours: Monday–Friday, 10:00 AM to 7:00 PM (BRT).

1. Inquiries & Quoting


To provide an accurate quote, the Designer requires detailed information about the Client's project upfront.
Every piece is priced uniquely based on its specific needs, whether it is for an underground brand/musician, a personal commission, or a larger corporate entity.

1.1 Pricing Factors:

Quotes are determined by name length, the complexity of the desired typographic style, intended use (commercial rights), and project scope (e.g., monogram + typography, or multiple assets).

1.2 Inquiry Requirements:

The Client must provide clear, objective details about the request.
Generic inquiries (e.g., "How much for a logo?", "What are your rates?") that lack specific project context will not be accommodated.

1.3 Currency & Exchange Rates:

All quotes, invoices, and additional fees (including but not limited to revision fees, rush fees, or administrative charges) provided by The Designer are issued and calculated in USD (United States Dollars). While The Client may settle payments in a different currency, the final amount will be adjusted based on current market exchange rates to ensure the total value received by The Designer matches the original USD quote and any subsequent fees. The Designer does not operate on a 1:1 numerical ratio for currencies with lower market value (e.g., AUD, CAD, BRL); The Client is responsible for ensuring the payment equals the full USD value at the time of the transaction.

1.4 Minimum Investment:

The current base rate for standard typography projects is $250 USD.

1.5 Discount Considerations:

Reduced pricing may occasionally be considered under specific conditions (e.g., 100% upfront payment, waived revision rounds, or extended deadlines). This is entirely at the Designer's discretion.

1.6 Quote Validity:

All quotes provided by the Designer are valid for a period of 30 days. After this period, the Designer reserves the right to adjust the pricing based on current rates.

1.7 Additional Costs:

If a project requires paid, non-commercial, non-royalty-free, and/or royalty-free assets (e.g., fonts, stock images, or templates), these costs will be included in the initial Quotation or the final Invoice.

2. Payment Terms


2.1 Payment Structure:

A 50% non-refundable deposit is required before work commences. The remaining 50% is due prior to the delivery of final files.

2.2 Payment Methods:

Payments can be processed through the following channels:

- PayPal: Transactions are accepted via direct transfer between PayPal accounts or through official invoices (issued either via PayPal's platform or externally).
- Bank Transfer: Direct wire transfers are available upon request.
- Cryptocurrency: Payments in USDT, USDC, BTC, SOL, or ETH are accepted as a last resort.
- Brazilian Clients: For clients based in Brazil, payments via PIX are allowed, and a service invoice (NFS-e) can be issued upon request, in accordance with local tax regulations.
- Geographic Restrictions: Transfers via Zelle, Venmo, Apple Pay, or similar regional platforms are not accepted.

2.3 Pre-Requisite:

No sketches, previews, or brainstorming will commence until the initial deposit or full payment has been successfully cleared.

2.4 Late Final Payments:

If the final 50% payment is not made within 30 days of the project's completion and invoice issuance, the Designer reserves the right to archive the project.
An unarchiving fee may apply to release the final files thereafter.

3. Process & Revisions


Client collaboration is highly valued to ensure the work aligns with the intended vision.

3.1 Standard Revisions:

Initially, minor revisions of any nature are free of additional charges, provided they align with the original creative brief.

3.2 Major Revisions & Scope Creep:

Additional fees will be applied in specific circumstances, such as abrupt directional changes that fundamentally alter the project after significant development has occurred. This includes any modification to the project name once the design process has moved past the initial sketching phase, or when the number of revision rounds becomes exhaustive (typically exceeding 10 to 15 iterations), indicating a departure from the original scope. The Designer maintains sole discretion in defining what constitutes a "Major Revision."

3.3 Revision Fees:

Should a project fall into "Major Revision" territory, an additional fee starting at $50 USD will apply, depending on the complexity of the requested changes.

3.4 Client Responsibilities:

The Client agrees to provide all necessary materials (e.g., content, imagery, brand guidelines), clear creative direction, and feedback in a timely manner to ensure efficient delivery.

4. Deadlines & Deliverables


4.1 Turnaround Time (ETA):

The standard turnaround time for a typography project is 1 to 3 weeks, depending on current availability, client response times, and project complexity.
If expedited delivery is required, a rush fee may apply and must be requested during the initial inquiry.

4.2 Final Files:

Upon full and final payment, deliverables will be sent via email utilizing a permanent Google Drive link.
Standard formats include AI (Adobe Illustrator), PNG, PDF, and SVG with black and white versions.

4.3 Add-ons:

Additional items, such as animations and chrome renders, are considered separate services and are not included in the base package.
These must be requested and quoted separately.

5. Post-Delivery Support


5.1 Technical Corrections

The Designer remains available to assist the Client after the final files have been delivered. If communication is to correct a technical error on the Designer's part (such as missing files, exporting issues, or accidental design mistakes), these corrections will be handled immediately at no additional cost.

5.2 Additional Services & Late Modifications:

If the Client requires additional services, last-minute changes, or modifications after the project has been officially closed, a fee starting at $20 USD will be charged based on the complexity of the request.

6. Cancellations & Refund Policy


Due to the custom nature of typography and the time invested in ideation and drafting, refunds are strictly limited.

6.1 Client-Initiated Cancellation:

If the Client cancels the project at any stage after work has commenced, the initial 50% deposit is strictly non-refundable to cover the Designer's time and lost opportunities.

6.2 Designer-Initiated Cancellation

If the Designer is unable to complete the project due to unforeseen circumstances, a prorated refund of the deposit will be issued, based solely on the percentage of work that remains incomplete.

6.3 Unresponsive Client:

If a Client fails to reply to updates or emails for an extended period (30+ days) without prior notice, the project will be considered abandoned. If the Client later returns without a justifiable explanation, the Designer is under no obligation to resume the project or issue a refund. If an absence was communicated and agreed upon beforehand, timelines will be adjusted accordingly.

7. Confidentiality


The Designer agrees to maintain the confidentiality of sensitive information provided by the Client. If the Client requires temporary confidentiality throughout the project timeline, this must be discussed in advance. Should strict, ongoing confidentiality be required, the Client must supply a Non-Disclosure Agreement (NDA) for signature prior to the start of the project.

8. Intellectual Property and Usage Rights


8.1 Usage Rights:

Upon full payment of the final invoice, the Client will own full usage rights to the final approved deliverables and is free to use them for personal, commercial, or professional purposes across digital, print, and other applications.

8.2 Unused Concepts

The Designer retains full intellectual property rights, ownership, and copyright to all preliminary drafts, unused concepts, and unapproved sketches created during the process.

8.3 Portfolio Rights

The Designer reserves the right to showcase the finalized logo and its variants on their website, in social media accounts, and in publications such as books or magazines for portfolio purposes.

8.4 Exclusive Buyout:

If the Client requires strict confidentiality that prevents the Designer from showcasing the work publicly, an NDA and Buyout agreement must be arranged for an additional fee starting at $500 USD. This must be stated in the initial inquiry.

8.5 Third-Party Fonts & Asset Licensing:

While the Designer may source, recommend, or incorporate third-party assets (such as commercial typefaces, fonts, or stock textures) into the design, the Client is strictly responsible for purchasing the appropriate commercial end-user licenses for these assets under their own name or business entity. The Designer cannot legally transfer a personal font license to the Client for commercial, merchandise, or trademark use.

9. Limitation of Liability


The Designer shall not be held liable for any damages, losses, or legal issues arising from the use of preliminary drafts, unused concepts, or final approved deliverables. It is the Client's responsibility to ensure that all work aligns with their industry standards, regulations, and applicable laws prior to the start of the project. While the Designer will endeavor to remain legally compliant regarding assets used (e.g., fonts, templates) and will advise the Client accordingly, the Client bears ultimate responsibility for the legal usage of these materials in their final application.

10. Trademarks & Legal Registration


Assistance with legal name searches, trademarking, or copyright registration is not provided by the Designer. Due to the complex legal nature of copyrighting across different regions, the Client assumes full responsibility for registering their logo as a trademark. The Client should consult an independent legal professional for these matters.

11. Force Majeure


Neither party shall be held liable for any failure to perform duties due to unforeseeable circumstances beyond their reasonable control. This includes, but is not limited to, natural disasters, severe power outages, catastrophic internet failure, severe illness, or changes in government regulations.

12. Governing Law & Dispute Resolution


These Terms of Service shall be governed by and construed in accordance with the laws of the State of São Paulo, Brazil, without regard to its conflict of law principles. Any legal action, dispute, or claim arising out of or in connection with this agreement shall be resolved exclusively in the competent courts located in Piracicaba, São Paulo, Brazil.
